Terms of service
Last updated: 12 October 2026
The agreement between your business and QRiva. It applies together with our Acceptable use policy, Data processing agreement and Refunds and cancellation policy.
1.The agreement
QRiva, available at qr-iva.com and its subdomains, is provided by RH COMMODITIES SRL, a Romanian company with registration code (CUI) 25651780 (QRiva, we, us). Our full company details are in the Legal notice.
These Terms of service, together with the Acceptable use policy, the Data processing agreement, the Refunds and cancellation policy, and the plan and price you choose at checkout (together, the Agreement), form the whole agreement between QRiva and the business that uses QRiva (the Customer, you). If a separate agreement is signed with us, such as an Enterprise order form, it prevails over these Terms where the two differ.
You accept the Agreement when you tick the acceptance box at sign-up, when you buy a plan, or when you otherwise use QRiva, whichever comes first. The person who accepts confirms that they are authorised to bind the Customer.
2.For businesses only
QRiva is a professional tool offered only to businesses, self-employed professionals, public bodies and non-profit organisations, for purposes related to their trade, business, craft or profession. It is not offered to consumers.
By accepting the Agreement, you confirm that you are not acting as a consumer. As a result, consumer protection rules that apply only to consumers, including the right of withdrawal for distance contracts, do not apply to the Agreement. If someone uses QRiva as a consumer despite this section, only the rights that mandatory consumer law gives them in any event apply, and nothing more.
You must be at least 18 years old, or the age of majority where you live if higher, to accept the Agreement.
3.Definitions
- Workspace: the space in QRiva where the Customer's codes, links, pages, cards, forms, product passports and data are kept. A Customer may have several Workspaces.
- Member: a person the Customer invites to a Workspace, with the role the Customer chooses, such as owner, admin, editor, viewer or client.
- Content: everything the Customer or its Members add to QRiva or publish with it, including destinations, texts, images, files, product data and the personal data of Visitors.
- Visitor: anyone who scans a code or opens a link, page, card, form or product passport published with QRiva.
- Plan: the Free plan or a paid plan described on the pricing page, with its features and limits.
- Subscription period: the monthly or yearly period a paid Plan is bought for.
- Printed code: a QR code, Data Matrix or other code that the Customer prints, engraves or places anywhere outside QRiva.
4.Accounts and workspaces
You must give accurate details and keep them up to date. You sign in with an e-mail link, a one-time code or a passkey, and where offered with a Google or Microsoft account. You are responsible for keeping access to your e-mail account, devices and passkeys secure, and for everything done through your account and your Workspaces, whether or not you authorised it. Tell us without delay at support@qr-iva.com if you suspect unauthorised access.
The Customer decides who becomes a Member and with which role, and is responsible for Members' acts and omissions as for its own. We may rely on any instruction given by an owner or admin of a Workspace, including to change the Plan, invite or remove Members, export or delete data.
If people disagree about who controls a Workspace, we may rely on our records of who created it and who pays for it, and we may freeze the Workspace until the disagreement is resolved. We do not arbitrate between them.
5.The service
QRiva lets you create dynamic and static QR codes, short links, mobile pages, digital business cards, forms, product passports, leads, automations, integrations and analytics, within the limits of your Plan.
We develop QRiva continually. We may add, change, limit or remove features, change limits, and change or discontinue the Free plan at any time. If we materially reduce a feature of a paid Plan you have already paid for, we will tell you at least 30 days in advance, and your only remedy is to cancel and receive a refund of the unused part of the Subscription period you paid for in advance.
Features we mark as beta, preview or early access are provided as they are, may change or end at any time, and are excluded from any commitment in the Agreement.
Scans are not metered and are not capped on any Plan. We may still filter, slow down or block traffic that is automated, abusive, or a threat to the service, and doing so does not breach the Agreement.
6.Plans, fees and payment
Paid Plans are billed in advance for each Subscription period, at the prices shown at checkout. Prices exclude VAT and other taxes, which you pay in addition unless the reverse-charge mechanism applies to a valid VAT number you give us. You are responsible for every tax due in your own country on your use of QRiva.
Prices are shown in euro to customers in the European Union, the United Kingdom and Switzerland, and in US dollars elsewhere. Customers in Romania are charged in lei at the equivalent of the euro price fixed by us. Payments are processed by Stripe; we do not see or store card numbers. Invoices are issued electronically.
Automatic renewal. Each Subscription period renews automatically for a period of the same length at the then-current price, and you authorise us to charge the payment method on file, until the Plan is cancelled before the end of the current period. We send renewal reminders in the app, and by e-mail, before a renewal.
Price changes. We may change prices. A new price applies to you from your next renewal, provided we told you at least 30 days before that renewal. If you do not accept it, cancel before the renewal.
Late payment. If a payment fails, we retry it for 14 days. If it is still unpaid, the Workspace moves to the Free plan and the wind-down described under Printed codes begins. Amounts due remain payable. We may also suspend paid features while a payment is overdue.
Upgrades take effect immediately and the difference is charged pro rata for the rest of the period. Downgrades and cancellations take effect at the end of the current Subscription period. Fees are non-refundable except as stated in our Refunds and cancellation policy.
Questions about an invoice must reach us within 30 days of the invoice date; after that the invoice is considered accepted. If you open a payment dispute or chargeback without first contacting us, we may suspend the Workspace until it is resolved, and recover any fees and costs it caused us.
7.Printed codes
While a Workspace exists, its codes, pages, cards, forms and other items within the limits of its current Plan keep resolving, the Free plan included, except as stated in this section and in the Acceptable use policy.
When a paid Plan ends, for any reason, items beyond the limits of the Free plan keep working for 72 hours, are then paused for 45 days, during which Visitors see a neutral notice, and are deleted after that unless the Plan is renewed or you choose which items use your Free allowance. Product passports are included from the Pro plan and follow the same steps. We e-mail the Workspace's owners before each step, but the steps apply even if an e-mail is not received.
Features that the Free plan does not include stop when a paid Plan ends, including the API, webhooks, automations, integrations, smart routing and scan limits, scheduled reports, white label, payments in forms, and access by Members beyond the Free plan's seats, who keep read-only access. Custom domains keep working until items beyond the Free plan are deleted, or stop when the Plan ends if there are none. When a smaller paid Plan starts, custom domains beyond its allowance keep working for 72 hours and then rest, and Members beyond its seats keep read-only access. Settings stay saved and work again when a Plan that includes them is bought.
Deleting a code, or closing an account, retires its short address permanently. A retired address is never given to anyone else.
You decide what to print and where. You are responsible for testing every code before printing it, for print quality, size, contrast and placement, and for keeping a paid Plan active for as long as you need items beyond the Free plan to work. We are not responsible for the cost of printing, reprinting, packaging, labelling, recalling or replacing materials that carry a code, in any circumstances covered by the Limitation of liability section.
8.Your content and responsibilities
You keep all rights to your Content. You grant QRiva a worldwide, non-exclusive, royalty-free licence, for as long as the Content is in QRiva and for the time needed to delete it afterwards, to host, store, copy, process, transmit, display, format and adapt it as needed to provide, secure and support QRiva, and to comply with the law.
You are solely responsible for your Content and its destinations, and for their legality, accuracy and compliance, including information that the law requires on your pages, labels and product passports. You confirm that you have all the rights, permissions and lawful bases needed for your Content and for the personal data you collect through QRiva, and that you give Visitors the information and obtain the consents the law requires, including for any tracking or advertising tags you add.
We do not check Content before it is published and we have no obligation to monitor it. We may remove or restrict Content as described in the Acceptable use policy.
You can export your data at any time while the Workspace exists, including a full Workspace export and the redirect table of your codes. Keeping your own copies is your responsibility.
We may name the Customer as a QRiva customer and show its name and logo on our website and in our marketing, unless you tell us not to at support@qr-iva.com.
9.Product passports
QRiva provides tools to publish product information and digital product passports. The Customer is the economic operator responsible for the product and for the passport: for its content and accuracy, for meeting the requirements that apply to the product, and for keeping the passport available for the period the law requires, including after the Customer stops using QRiva.
Our templates follow the requirements of the EU instruments they name as we understand them at the time, but they are not legal advice and may not cover every requirement that applies to a given product. Rules and delegated acts change; we may update templates, and you are responsible for checking that your passports stay compliant.
Keeping a passport online through QRiva requires an active Plan that includes product passports (Pro and above). The archive export and the Workspace export let you keep your own independent copy. A QRiva signature on a passport shows that the document was published through QRiva and has not changed since; it does not confirm that its content is true or compliant.
10.AI features
Some features use artificial intelligence to draft forms, product passports and answers. Their output can be incomplete or wrong. You must review it before you use or publish it, and you are responsible for what you publish. AI output is not legal, regulatory or professional advice.
What you send to an AI feature is processed by our AI provider listed on the Subprocessors page. Do not include personal data or confidential information you do not want processed this way. We do not use your Content to train AI models.
11.Payments in your forms
If you collect payments through your forms, you connect your own Stripe account and contract directly with Stripe under Stripe's terms. Payments go to your Stripe account and QRiva is not a party to them. You are the seller to your payers and are solely responsible for prices, taxes, receipts, refunds, chargebacks, consumer law obligations and disputes with them.
12.Integrations and third-party services
When you connect services such as HubSpot, Google Sheets, Slack, Stripe, analytics or advertising tags, wallet passes or your own webhooks, their own terms apply to them, and data you send there is handled by those providers under your instructions. We are not responsible for third-party services, and an integration may stop working if the provider changes or withdraws it.
Use of the API is subject to the rate limits of your Plan and to the documentation. We may change or retire API versions; where reasonable, we give notice before retiring a version you use.
13.Referral programme
Customers with an active paid Plan can invite other businesses with their referral link. A new business that signs up through the link, is the owner of a new Workspace less than 30 days old, has never paid QRiva, and buys a monthly paid Plan receives 50% off its first monthly payment. The referring Customer receives a credit equal to one month of its own Plan at the monthly price, but never more than one month of the new business's Plan, added to its QRiva balance once the new business has paid an invoice at full price (its second monthly payment, or the first payment of a yearly Plan).
Credits have no cash value, cannot be transferred and are used only against future QRiva invoices. No more than 12 months of credit can be earned in any 12 months; referrals beyond that earn nothing. Referrals to yourself, to your own other Workspaces or to businesses you control, and any manipulation of the programme, earn nothing and may lead to credits being removed. We may change or end the programme at any time; credits already earned stay valid.
14.Data protection
For the personal data of Visitors, leads and Members that the Customer processes through QRiva, the Customer is the controller and QRiva is the processor, under our Data processing agreement, which forms part of the Agreement. Our own processing, for example of account and billing data, is described in our Privacy policy.
We may use data about how QRiva is used, in aggregated or anonymised form that does not identify the Customer or any person, to operate, secure and improve QRiva.
15.Intellectual property and confidentiality
QRiva, its software, designs, templates, documentation and brand belong to us or our licensors. The Agreement gives you a limited, non-exclusive, non-transferable right to use QRiva during the Agreement for your own business, and no other right. Feedback and suggestions you send us may be used freely and without any obligation to you.
You must keep confidential any non-public information about QRiva that we share with you, such as non-public features, prices or security information, and use it only for the Agreement.
16.Availability and support
We aim to keep QRiva available at all times and publish its status on our status page, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. Maintenance, updates, provider outages and attacks may interrupt it. A service level with financial commitments applies only if it is agreed in a signed Enterprise agreement.
Support is provided through the channels and with the first-reply targets shown for your Plan. Reply times are targets, not guarantees.
We protect QRiva and your Content with the measures described in our security page and the Data processing agreement. No system is completely secure, and we do not guarantee that Content will never be lost or accessed without authorisation.
17.Disclaimer of warranties
Except as expressly stated in the Agreement, and to the extent the law allows, QRiva is provided as it is and as available, without any warranty or condition, express or implied, including of merchantability, fitness for a particular purpose, non-infringement or freedom from hidden defects.
In particular, we do not warrant that every code will scan on every device or in every printed form; that screening will detect every unsafe destination or will never block a safe one; that analytics, locations, device data or deduplication are exact; that templates, AI output or product passports meet every legal requirement; or that QRiva will meet your specific requirements.
18.Suspension
We may suspend or restrict all or part of a Workspace or account, immediately and without prior notice where the situation requires it, if: a payment is overdue; you or your Members breach the Agreement or the Acceptable use policy; your use creates a security, legal or reputational risk for QRiva, its domains, other customers or the public; we are required to by law or by an authority; or we reasonably suspect fraud or abuse.
We tell you the reason, unless the law or safety prevents it, and lift the suspension once the cause has been removed, where it can be. Fees remain payable during a suspension caused by you, and we are not liable for any loss a suspension causes.
19.Termination
The Agreement lasts until it is ended. You can end it at any time by cancelling your paid Plan, which ends at the end of the current Subscription period, and by closing your account under Account settings. Closing an account permanently deletes the Workspaces in which you are the only member, immediately and irreversibly, and cancels their paid Plans.
We may end the Agreement, or the use of a Workspace, at any time for any reason by giving 30 days' notice; in that case we refund the unused part of any Subscription period paid in advance. We may end it immediately by notice if you seriously or repeatedly breach the Agreement, if a payment remains unpaid after the retry period, if you become insolvent or enter liquidation, if you or your owners become subject to sanctions, or if the law requires it. Ending the Agreement in these cases does not require a court decision or any other formality (it operates as a termination clause under article 1553 of the Romanian Civil Code).
When the Agreement ends, your right to use QRiva ends, amounts due become payable at once, and Content is deleted as described under Printed codes and in the Data processing agreement. Sections that by their nature should continue, including fees due, Content responsibilities, warranties, liability, indemnity and governing law, survive the end of the Agreement.
20.Limitation of liability
To the extent the law allows, QRiva is not liable for any indirect or consequential loss, or for loss of profit, revenue, business, contracts, goodwill or anticipated savings, loss or corruption of data, business interruption, costs of substitute services, or costs of printing, reprinting, packaging, labelling, recalling or replacing physical materials, however caused and even if foreseeable.
Our total liability arising out of or in connection with the Agreement, in contract, tort or otherwise, for all claims together in any 12-month period, is limited to the fees the Customer actually paid us for QRiva in the 12 months before the event that gave rise to the first claim, and to 100 euros if the Customer used only the Free plan.
Nothing in the Agreement limits liability for damage caused intentionally or through gross negligence, for bodily injury, or any other liability that cannot be limited or excluded by law.
Any claim against QRiva must be brought within one year from the date the Customer knew or should have known of the facts giving rise to it; the parties agree this period under article 2515 of the Romanian Civil Code.
21.Indemnity
The Customer will defend and indemnify QRiva, its staff and its providers against any claim, fine, penalty, damages, cost and reasonable legal fee arising from: the Customer's Content and destinations; the Customer's or its Members' breach of the Agreement or of the law; the Customer's processing of personal data, including the absence of a lawful basis or of required information or consent; the Customer's products and product passports; and disputes with the Customer's own customers, payers or Visitors. We will tell the Customer of such a claim and may take part in its defence with counsel of our choice.
22.Events beyond our control
We are not liable for any failure or delay caused by events beyond our reasonable control, including failures of hosting, network, e-mail or payment providers, attacks on our systems or on the internet, power failures, natural disasters, epidemics, war, acts of authorities and changes in law.
23.Changes to these terms
We may change the Agreement. We tell Customers about changes that materially affect them by e-mail or in the app at least 15 days before they apply. Changes required by law or by an authority, or needed to address a security risk or abuse, may apply sooner. Changes that are favourable to you, or that concern new features, apply when published.
If you do not agree to a change, you may close your account or cancel your Plan before it applies. Continuing to use QRiva after the change applies means you accept it.
24.Notices and communication
We send notices to the e-mail address of the Workspace's owners, or show them in the app. A notice is considered received when it is sent or shown. Notices to us must be sent to support@qr-iva.com. Communications between us are in electronic form, and our electronic records of acceptances, actions, e-mails and payments are proof of them unless the contrary is shown.
25.Governing law and disputes
The Agreement is governed by Romanian law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute arising out of or in connection with the Agreement will be settled exclusively by the competent courts for QRiva's registered office in Romania. We may nevertheless bring a claim, including for unpaid fees, before the courts of the Customer's place of business.
26.General
We may assign or transfer the Agreement, in whole or in part, to a company of our group or to a successor of our business, and we may use subcontractors. You may not assign or transfer the Agreement without our written consent.
If a provision of the Agreement is found invalid or unenforceable, it applies to the greatest extent allowed and the rest of the Agreement remains in force. Not enforcing a right is not a waiver of it. The parties are independent contractors. The Agreement does not create rights for third parties. The Agreement is written in English; a translation is for convenience only.
You confirm that neither you nor your owners are subject to EU, UN, UK or US sanctions, and that you will not use QRiva in breach of sanctions or export control rules.
27.Clauses accepted expressly
In accordance with article 1203 of the Romanian Civil Code, the Customer expressly accepts the following clauses, which it confirms it has read and understood: automatic renewal, price changes and late payment (Plans, fees and payment); Suspension; Termination, including our right to terminate and the termination clause; Limitation of liability, including the one-year period for claims; Indemnity; Changes to these terms; and Governing law and disputes, including the choice of courts. This acceptance is given by ticking the acceptance box at sign-up, which names these clauses.
